BIOGRAPHY
Thong Chee Whei specializes in drafting legal documents i.e high profile corporate financing, sale and purchase, intellectual property, licensing, technology, etc. He has handled various matters which include amongst others, advising, drafting, reviewing on cross border transactions, and providing legal opinion (including Labuan laws) on transactions under a Malaysia law perspective.
His experience in real estate matters includes drafting and advisory work relating to the acquisition, disposal and leasing of private and commercial properties, conveyance of corporate equity in local companies and obtaining the requisite approvals from the regulatory bodies. He is also well verse with arbitration, adjudication and litigation matters related to construction industry. He has gained considerable knowledge on CIPAA since starting his practice back in 2016. He has appeared before the Court of Appeal in litigations matter involving building contracts and construction disputes.

- Acted for a group of companies engaged in the food and beverage distribution industry for the listing on the Main Board of the Stock Exchange of Hong Kong Limited.
- Acted for a group of companies engaged in the distribution of animal feed additive and manufacturing of animal feed additive premixes for the listing on the Main Board of the Stock Exchange of Hong Kong Limited.
- Acted for a group of companies engaged in sourcing, wholesaling, supplying and marketing imprintable apparel and gift products in Malaysia and Singapore for the listing on the Main Board of Stock Exchange of Hong Kong Limited.
- Acted for a group of companies engaged in the service of providing equipment for heavy lift and heavy transport in Singapore, Malaysia, Hong Kong and Myanmar for the listing on the Main Board of Stock Exchange of Hong Kong Limited.
- Acted for a group of companies engaged in the production of palm oil products for the listing on the Growth Enterprise Market of the Stock Exchange of Hong Kong Limited.
- Acted for a group of companies engaged in the industry of manufacturing of plastic parts and components in Malaysia and Myanmar for the listing on the Growth Enterprise Market of the Stock Exchange of Hong Kong Limited.
- Acted for a public listed company for its proposed issuance of up to RM60million redeemable convertible preference shares (RCPS).
- Acted for a public listed company for its proposed acquisition of business for a consideration of approximately RM45million
- Acted for a public listed company for its proposed disposal of a factory for a consideration of approximately RM55million
- Acted for a public listed company for its disposal of its equity interest in its subsidiary for a consideration of approximately RM33million.
- Acted for a public listed company for its acquisition of a business for a purchase consideration of RM16million.
- Acted for a public listed company for a disposal of its interest in its wholly owned subsidiary for a consideration of RM10million.
- Advised on a company on its proposed joint venture with a public listed company to set up a new e-commerce centre in Malaysian.
- Advised on several wholly-owned subsidiaries of public listed companies and non-public listed companies for their application to the Securities Commission Malaysia in respect of the registration as an initial exchange offering (IEO) operator in Malaysia pursuant to the Guidelines on Digital Assets.
- Advised on a fully licensed stock exchange in Labuan, Malaysia on general legal and regulatory matters in respect of business activities carried out by the exchange.
- Advised on a company on the legality and validity of the electronic signatures and digital signatures which can be performed through the company’s platform in the context of Malaysian laws.
