Shermaine Lee

BIOGRAPHY

Ms. Lee Sher Maine obtained her Bachelor of Laws with Honours from the University of Reading, United Kingdom in 2015. She has completed her Bar Professional Training Course (BPTC) at BPP Law School, London and was thereafter admitted to the Bar of England and Wales as a Barrister-at-Law of the Honourable Society of Lincoln’s Inn, London in 2016.

Shermaine worked as a legal researcher with Amplio Services, a competitive intelligence service provider in Reading, United Kingdom from September 2014 to June 2015. In April 2017, she commenced her pupillage with Tan Hock Chuan & Co. and was primarily engaged in whitecollar criminal defense work. She left the firm in April 2018 and was called to the Malaysian Bar as an Advocate & Solicitor in July 2018.

In September 2018, Shermaine joined Messrs Rhiza & Richard. She handles civil and commercial litigation. Her focus practice areas are in construction law, company and commercial law. She has in-house/corporate experience in one of the biggest renewable energy companies in Malaysia -- ITRAMAS Corporation and has advised the company on various legal matters.

  • Acted for a group of companies engaged in the food and beverage distribution industry for the listing on the Main Board of the Stock Exchange of Hong Kong Limited.
  • Acted for a group of companies engaged in the distribution of animal feed additive and manufacturing of animal feed additive premixes for the listing on the Main Board of the Stock Exchange of Hong Kong Limited.
  • Acted for a group of companies engaged in sourcing, wholesaling, supplying and marketing imprintable apparel and gift products in Malaysia and Singapore for the listing on the Main Board of Stock Exchange of Hong Kong Limited.
  • Acted for a group of companies engaged in the service of providing equipment for heavy lift and heavy transport in Singapore, Malaysia, Hong Kong and Myanmar for the listing on the Main Board of Stock Exchange of Hong Kong Limited.
  • Acted for a group of companies engaged in the production of palm oil products for the listing on the Growth Enterprise Market of the Stock Exchange of Hong Kong Limited.
  • Acted for a group of companies engaged in the industry of manufacturing of plastic parts and components in Malaysia and Myanmar for the listing on the Growth Enterprise Market of the Stock Exchange of Hong Kong Limited.
  • Acted for a public listed company for its proposed issuance of up to RM60million redeemable convertible preference shares (RCPS).
  • Acted for a public listed company for its proposed acquisition of business for a consideration of approximately RM45million
  • Acted for a public listed company for its proposed disposal of a factory for a consideration of approximately RM55million
  • Acted for a public listed company for its disposal of its equity interest in its subsidiary for a consideration of approximately RM33million.

  • Acted for a public listed company for a disposal of its interest in its wholly owned subsidiary for a consideration of RM10million.
  • Advised on a company on its proposed joint venture with a public listed company to set up a new e-commerce centre in Malaysian.
  • Advised on several wholly-owned subsidiaries of public listed companies and non-public listed companies for their application to the Securities Commission Malaysia in respect of the registration as an initial exchange offering (IEO) operator in Malaysia pursuant to the Guidelines on Digital Assets.
  • Advised on a fully licensed stock exchange in Labuan, Malaysia on general legal and regulatory matters in respect of business activities carried out by the exchange.
  • Advised on a company on the legality and validity of the electronic signatures and digital signatures which can be performed through the company’s platform in the context of Malaysian laws.
